1. Who we are and acceptance of these terms
This website, https://velosoft.in, and the Velo mobile application (together, the “Platform”) are owned and operated by Velo Software, trading as Velosoft (“Velosoft”, “we”, “us”), having its registered office at Edaganasalai, Elampillai, Salem District, Tamil Nadu 637502, India.
By browsing the website, requesting a quote, placing an order, making a payment or subscribing to Velo, you (“Client”, “you”) agree to these Terms & Conditions, our Privacy Policy, Refund & Cancellation Policy and Service Delivery Policy, which are incorporated by reference. If you do not agree, please do not use the Platform. This is an electronic record under the Information Technology Act, 2000 and does not require a physical signature.
2. Our products and services
- Professional services: web development, e-commerce development, custom software engineering, UI/UX design, cloud integration, SEO and maintenance, delivered under a written quote or statement of work (“SOW”).
- Velo mobile app: a software-as-a-service business application licensed to you on a subscription basis under the plans listed on our Pricing page.
Descriptions and prices on the website are indicative until confirmed in a written quote or your in-app plan selection. We may update, improve or discontinue features of Velo with reasonable notice.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872. If you act for a company or firm, you confirm you are authorised to bind it. We do not knowingly provide services to minors.
4. Quotes, orders and scope (professional services)
- Every project starts with a written quote or SOW describing deliverables, milestones, timeline and fixed price in Indian Rupees (INR). Work begins only after you accept the quote and pay the advance stated in it.
- Anything not listed in the SOW is out of scope. Change requests are estimated separately and added by written agreement.
- You will provide content, brand assets, access credentials, approvals and feedback within the times stated in the SOW. Delays on your side extend timelines accordingly.
- Each milestone is deemed accepted if you do not report defects in writing within 7 days of delivery.
5. Pricing, taxes and payment
- All prices are in Indian Rupees (INR). Velosoft is currently unregistered under GST, so the prices shown are the amounts payable — no GST is added. If we register for GST later, applicable tax will be shown on the invoice before you pay.
- Unless the SOW says otherwise, projects are billed 50% in advance, 30% at design/development approval and 20% before final handover or go-live. Retainers and Velo subscriptions are billed in advance for each period.
- Payments are processed by Cashfree Payments India Private Limited (“Cashfree”), an RBI-authorised payment aggregator, through payment links, hosted payment pages and in-app checkout. Accepted methods include UPI, credit and debit cards, net banking, wallets, pay-later, EMI and bank transfer. Card and UPI credentials are handled only by Cashfree, its partner banks and networks, never by Velosoft. Cashfree’s own terms and privacy policy apply to the payment transaction.
- Any payment-gateway convenience fee is disclosed before you confirm payment. Bank charges for international transfers are borne by the payer.
- Invoices are due within 7 days. Overdue amounts may attract interest of 1.5% per month and we may pause work, hosting or Velo access until payment is received.
- An invoice is issued electronically for every payment.
6. Velo subscriptions and automatic renewal
- Plans and term. Velo is sold as monthly or yearly plans at the prices on the Pricing page. Your subscription starts when the first payment succeeds (or when a free trial ends and you select a plan) and renews automatically for the same term until cancelled.
- Recurring mandate. If you choose auto-pay, you authorise Velosoft, through Cashfree, to set up a recurring payment mandate (UPI Autopay, e-NACH/e-mandate or card standing instruction) for the plan amount (plus any applicable tax shown at checkout) up to the maximum amount displayed during authorisation. As required by the Reserve Bank of India, you will receive a pre-debit notification at least 24 hours before each charge, and debits above the regulatory limit require your additional authentication.
- Failed payments. If a renewal payment fails, we retry up to three times over 7 days. If it still fails, your account moves to read-only mode until payment is made, and may be closed after 30 days.
- Cancellation. You may cancel at any time from Velo → Settings → Subscription, by emailing [email protected], or by revoking the mandate in your UPI or banking app. Cancellation stops future charges; you keep access until the end of the paid period. Refund eligibility is set out in the Refund & Cancellation Policy.
- Price changes. We will email you at least 30 days before a price change takes effect on your next renewal. Continuing to use Velo after that date means you accept the new price; otherwise, cancel before renewal.
- Free trial. Trials are for new accounts only, last 14 days and require no payment. We may limit features during a trial.
- Your data. You own the business data you enter in Velo. You can export it at any time while subscribed and for 30 days after cancellation, after which it is deleted per our Privacy Policy.
- Acceptable use. You may not resell Velo, reverse-engineer it, upload unlawful content, or use it to send unsolicited messages. We may suspend accounts that breach this clause.
7. EMI and pay-later options (including ZestMoney)
Where shown at checkout, you may pay eligible amounts of ₹3,000 and above in instalments using credit-card EMI or cardless EMI offered by banks and RBI-registered non-banking financial companies through Cashfree Payments. Cardless EMI partners currently include ZestMoney (Zest, powered by DMI Finance Private Limited), HDFC Bank, ICICI Bank, IDFC FIRST Bank, CASHe, HDB Financial Services, TVS Credit and others, subject to availability at checkout.
- Velosoft is not a lender and does not offer credit. The EMI or pay-later facility is a separate loan or facility between you and the lender (for ZestMoney, with DMI Finance), governed by the lender’s Key Fact Statement, interest rate, processing fee and tenure, all of which are disclosed by the lender before you confirm.
- Eligibility is decided solely by the lender after its own KYC and credit assessment. Rejection of EMI does not cancel your order unless you choose not to pay by another method.
- Velosoft receives the full order value from Cashfree / the lender; your obligation to repay the lender continues regardless of any dispute with Velosoft, except where a refund is processed to the lender under our Refund & Cancellation Policy.
- If an EMI order is cancelled or refunded, the refund is sent to the lender, who will close or adjust your loan under their terms. Interest or fees already charged by the lender are governed by the lender’s policy, not by Velosoft.
- What is EMI-eligible: one-time professional-service invoices and yearly Velo subscriptions of ₹3,000 or more. Monthly Velo plans (currently ₹499 and ₹1,499) are billed monthly via UPI Autopay, e-NACH or card standing instruction and are not offered as EMI because they sit below typical cardless-EMI minimums.
8. Intellectual property
- On receipt of full payment, all custom code, designs and content created for you under an SOW are assigned to you. Until then, they remain the property of Velosoft.
- Velosoft retains ownership of its pre-existing tools, libraries, frameworks and the Velo application, and grants you a non-exclusive licence to use them as part of your deliverable or subscription.
- Third-party components (open-source libraries, fonts, stock media, plugins) remain subject to their own licences, which we identify in the handover documentation.
- You warrant that content you supply does not infringe anyone’s rights, and you indemnify us against claims arising from it.
- Unless you opt out in writing, we may show the finished project name and logo in our portfolio.
9. Warranties and support
We warrant that deliverables will materially conform to the SOW for 30 days after handover and will fix reported defects in that period free of charge. Ongoing maintenance is available under a paid plan. Velo is provided with commercially reasonable efforts to maintain 99.5% monthly uptime, excluding scheduled maintenance notified in advance. Except as stated here, the Platform and services are provided “as is” without other warranties, to the extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Velosoft’s total liability for any claim arising from a project or subscription is limited to the fees you paid us for that project or for the 12 months of subscription preceding the claim. We are not liable for indirect or consequential losses, loss of profits, data or goodwill, or for failures of third-party services (hosting providers, payment gateways, lenders, app stores, telecom or messaging providers) outside our control. Nothing in these terms limits liability that cannot be limited under Indian law, including under the Consumer Protection Act, 2019.
11. Termination
Either party may terminate a project SOW with 15 days’ written notice; you pay for work completed up to the termination date as set out in the Refund & Cancellation Policy. We may suspend or terminate access to Velo immediately for non-payment, breach of these terms or unlawful use. Clauses on payment, intellectual property, liability and governing law survive termination.
12. Privacy
We process personal data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023.

14. Governing law and jurisdiction
These terms are governed by the laws of India. Subject to any mandatory consumer-protection forum available to you, the courts at Salem, Tamil Nadu have exclusive jurisdiction over disputes arising from the Platform or our services.
15. Changes to these terms
We may update these terms from time to time. The “Last updated” date above shows the current version. Material changes affecting an active subscription will be emailed at least 30 days in advance. Continued use after the effective date constitutes acceptance.
